Contractor Terms & Conditions

1. Nature of Relationship

Program applicants apply for a Registered Trade Account for the sole purpose of accessing discounted pricing. This program does not create an agency, partnership, joint venture, or franchise relationship. You are an independent purchaser and are not an agent or representative of US Water Systems (USWS). You shall not represent yourself as "authorized" by USWS in a manner that implies endorsement of your workmanship or business practices.

2. Eligibility and Verification

Eligibility is contingent upon the submission of a valid Employer Identification Number (EIN) and a current Certificate of Insurance (COI). You agree to maintain active liability insurance and provide updated certificates upon request. Failure to maintain insurance may result in immediate account suspension.

3. Limited Product Warranty & Workmanship Disclaimer

Manufacturing Only: USWS's liability is strictly limited to the replacement or repair of components found to have manufacturing defects.

No Labor Liability: USWS is not responsible for, and will not reimburse, any labor costs, travel expenses, or incidental damages associated with the installation, repair, or replacement of products.

Workmanship: All installation and maintenance are the sole responsibility of the Purchaser. USWS assumes zero liability for property damage, personal injury, or system failure resulting from improper installation, plumbing errors, or failure to follow local codes.

4. Independent Pricing and Services

You are solely responsible for the pricing you charge your customers for labor and services. USWS does not dictate or oversee your service rates. To preserve the manufacturer's product warranty for the end-user, you must ensure the system is maintained using genuine USWS consumables and components. Use of third-party components may void the product warranty but remains your sole liability.

5. Shipping and Title (F.O.B. Shipping Point)

Title to products passes to the Purchaser upon delivery to the common carrier. All claims for shipping damage or loss must be filed by the Purchaser directly with the carrier. While USWS may provide documentation to assist in your claim, the responsibility for the claim process rests with you.

6. Indemnification

You agree to indemnify, defend, and hold harmless US Water Systems from any and all claims, lawsuits, damages, or losses (including legal fees) arising from your installation, service, or representations made to your customers. USWS is not a party to any contract between you and your end customer.

7. Customer Contact Information & No Endorsement

USWS may, at its sole discretion and as a courtesy to end-users, share your business contact information with customers seeking installation or maintenance services. You acknowledge and agree to the following:

No Endorsement: The sharing of your information does not constitute an endorsement, certification, or guarantee of your workmanship by USWS.

Independent Status: You will be presented to the customer as an independent professional. You shall not represent yourself to customers as being "certified," "authorized," or "vetted" by USWS in any way that contradicts the USWS referral script.

Direct Relationship: Any agreement for services is strictly between you and the customer. USWS is not a party to, nor liable for, any disputes, non-payment, property damage, or claims arising from your interactions with customers referred through this program.

Right to Remove: USWS reserves the right to cease sharing your contact information at any time, for any reason, without notice.
